Main Purpose:
To support on MTN Uganda’s commercial legal and company secretarial portfolio.
Key Performance Areas
• Ensure compliance with internal and statutory governance requirements.
• Support the operational teams with reference to managing the company’s commercial contracting portfolio.
Main Job Functions
Commercial legal:
• Negotiating, drafting and/or review of contracts, and providing advice on implications of contractual terms from a legal and risk management perspective.
• Advising on the implementation of projects from a legal and regulatory perspective, and drafting and/or review of necessary project-related documents.
• Advising on legal and compliance matters based on applicable laws including capital markets, listing and employment laws.
• Providing appropriate support with relation to resolution of contractual and other disputes.
Governance and company secretarial:
• Advising on corporate governance legal requirements and best practice.
• Tracking and advising on compliance with corporate policies, constitutional documents, board mandate and terms of reference, and amendment of such documents for compliance with applicable laws and recommended governance practice.
• Assisting with director onboarding and training.
• Developing periodic governance calendars.
• Preparing and filing statutory notifications and documents.
• Providing necessary support with respect to all board administration and shareholder meeting activities.
Education
• Bachelor of Laws degree from a recognised university in Uganda.
• Postgraduate Diploma in Legal Practice (Bar course qualification) from the Law Development Centre, Uganda.
• Enrolled Advocate of the High Court of Uganda.
• Postgraduate qualification in law, chartered secretarial or governance training is an added advantage.
Experience:
• Minimum of 5 years’ work experience, with at least 3 years spent in a busy commercial law firm or an in-house role in a reputable organization in the private sector.
Experience, Skills and Attributes:
• Demonstrable experience in chartered secretarial and board administration practice.
• Demonstrable experience in handling legal advisory aspects related to commercial projects and contract management (including negotiation, drafting and dispute resolution).
• Knowledge of the operational and governance requirements applicable to companies that operate in the capital markets space.
• Strong technical skills with respect to appreciation and application of the law and business communication (oral and written), and ability to deliver high-quality first-draft work product.
• Strong interpersonal skills and commitment to continuous improvement and learning.
• Ability to balance working independently with collaborating effectively with a team.
• Ability to be proactive in the identification and resolution of commercial and governance issues.
